Representing stockholders’ interests, in particular at annual meetings of stock corporations;
- Assisting with corporate restructuring processes and transformations;
- Providing consultancy services for amalgamations;
- Assisting with spin-offs of divisions and business units of a company;
- Advising clients in the context of IPOs in all segments of Deutsche Börse AG and in all regional stock exchanges;
- Drafting and negotiating intercompany agreements (for example control agreements);
- Preparing and implementing annual meetings of stockholders;
- Providing consultancy on matters of corporate governance;
- Establishing companies in all legal forms.
As member of the board of the Deutsche Schutzvereinigung für Wertpapierbesitz e.V. (DSW, association for the protection of securities investors), Klaus Nieding is committed to protecting the rights of shareholders and investors an has consistently enforced them in many cases. In the context of the activities pursued by Nieding + Barth for DSW, our attorneys attend approximately 200 meetings of stockholders per year in order to represent the interests of stockholders and safeguard their rights.
Moreover, Mr. Nieding is president of the Deutscher Anlegerschutzbund e.V. (DASB, German federation working to protect investors’ rights), as well as member of the stockholder protection working group of the Bundesanstalt für Finanzdienstleistungsaufsicht (BAFin, Federal Supervisory Office for Financial Services) and member of the Capital Markets Forum of the International Bar Association.
Our attorneys Peter Barth and Andreas Lang represent investors’ interests in their capacity as members of the board of the Deutscher Anlegerschutzbundes e.V. (DASB). In these roles, and as representatives of the DSW and DASB, our attorneys are regularly involved by the legislative expert committees in drafting bills that concern the rights of stockholders and investors.
